Terms of Service

1. Agreement and electronic acceptance
These Terms of Service ("Terms") form a legally binding agreement between you and Whisser.com and the person or entity operating it (collectively, "Whisser," "we," "us," or "our") governing your access to and use of Whisser.com and every website, application, classroom, artificial-intelligence feature, writing tool, media tool, coding environment, database feature, community feature, administrative service, integration, and related product that links to these Terms (collectively, the "Services").
Your electronic acceptance, account registration, access, or use has the same effect as signing a written agreement to the extent recognized by applicable law. These Terms incorporate the Privacy Policy, feature-specific rules, safety notices, posted usage limits, and any order form or written agreement that expressly references them. If a signed agreement conflicts with these Terms, the signed agreement controls only for the covered Services and parties.
2. Eligibility, authority, and minors
You may use the Services only if you can lawfully enter this agreement and are not prohibited from receiving the Services under applicable law. If you use Whisser for a company, school, organization, class, or other entity, you represent that you are authorized to bind that entity, and "you" includes the entity.
A person below the age required to form a binding contract or independently consent to relevant data processing may use the Services only with authorization and supervision from a parent, legal guardian, school, or other legally authorized person. The responsible adult or institution accepts responsibility for the minor's use to the extent permitted by law.
3. Accounts and security
- You must provide accurate, current, and complete information and keep it updated.
- You may not sell, transfer, rent, share, or make an account available to an unauthorized person.
- You are responsible for activity under your account, credentials, connected services, API keys, and devices, except to the extent caused by Whisser's breach of a non-waivable legal duty.
- You must use reasonable security practices, protect passwords, sign out of shared devices, and promptly report suspected compromise to [email protected].
- You may not create multiple accounts, use disposable identities, rotate devices or networks, or use another person's account to evade limits, enforcement, eligibility rules, fees, bans, or safety controls.
Whisser may require identity, age, role, organization, payment, or ownership verification where reasonably necessary for security, rights protection, account recovery, regulated features, or abuse prevention.
4. The Services and changes
Whisser may add, modify, limit, suspend, discontinue, replace, or remove any feature, model, integration, storage allocation, usage limit, interface, or supported device. Some Services may be labeled beta, experimental, preview, free, or early access and may contain errors, change without notice, or be discontinued.
We may establish reasonable technical, safety, storage, rate, fair-use, or eligibility limits. You may not bypass or interfere with those limits. Whisser does not guarantee that every feature will be available in every country, language, browser, account type, or device.
5. Third-party services and rules
Some features or functions use, link to, display content from, or interoperate with third-party services, including AI providers, cloud and hosting platforms, databases, authentication providers, analytics services, payment processors, communications systems, content-delivery networks, media processors, repositories, and external websites.
When you activate, connect, or use a third-party feature, you may also be subject to that third party's terms of service, privacy policy, acceptable-use policy, fees, usage limits, licenses, export controls, and other rules. You are responsible for reviewing and complying with them. A violation of applicable third-party rules may also constitute a violation of these Terms if it creates risk, liability, disruption, or loss for Whisser or other users.
Third parties control their own services. Whisser is not responsible for their availability, content, decisions, security, data practices, changes, or acts, except to the extent responsibility cannot lawfully be excluded. Whisser may suspend an integration if the provider changes access, requires action, experiences an incident, or if continued operation creates legal, technical, or security risk.
6. User content, ownership, and license
As between you and Whisser, you retain the rights you lawfully hold in prompts, documents, files, code, media, posts, assignments, projects, databases, and other material you submit or create through the Services ("User Content"). You are solely responsible for User Content and for having every right, permission, consent, and lawful basis needed to submit, process, publish, share, or instruct Whisser to use it.
You grant Whisser a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, format, modify for technical compatibility, analyze, and otherwise process User Content only as reasonably necessary to operate, secure, support, improve, and enforce the Services; comply with your settings and instructions; respond to legal process; and protect rights and safety. This license ends when the content is deleted from active systems, except for copies retained in backups, security records, lawful archives, or materials shared with others before deletion.
Public or shared content may be accessed, copied, indexed, embedded, downloaded, or redistributed by other people. Do not publish information you are not prepared to make available to the selected audience.
7. AI and automated features
AI outputs are generated probabilistically and may be inaccurate, incomplete, outdated, biased, offensive, non-unique, or unsuitable. You must independently review outputs before relying on, publishing, submitting, deploying, or using them. AI output is not legal, medical, financial, safety, academic, or other professional advice.
You are responsible for decisions and actions based on AI output, including verifying facts, sources, originality, licensing, security, code behavior, academic requirements, and compliance with third-party rules. You may not represent AI output as human-created where disclosure is required, use it to deceive, or use AI features to make unlawful or prohibited high-impact decisions about another person.
Whisser does not guarantee ownership, copyright eligibility, exclusivity, or non-infringement of AI output. Similar or identical output may be generated for other users. You must not provide confidential, privileged, regulated, or highly sensitive information to an AI feature unless you have authority and the feature expressly supports that use.
8. Classroom and institutional use
Educators and institutions are responsible for class configuration, enrollment, permissions, notices, grading practices, academic-integrity rules, retention decisions, and lawful use of student data. Students must follow applicable school rules and may not use Whisser to cheat, impersonate another person, alter grades, access restricted materials, or bypass assessment controls.
Whisser is a platform provider and does not determine educational outcomes, accreditation, admissions, discipline, or grading. Teachers and institutions remain responsible for reviewing work and making decisions.
9. Acceptable use
You must use the Services lawfully, responsibly, and in a manner that does not harm Whisser, another person, or the public. You may not use or attempt to use the Services to:
- commit, facilitate, solicit, conceal, encourage, or provide material support for any crime, fraud, abuse, or unlawful act;
- access, damage, disrupt, overload, probe, scan, test, reverse engineer, bypass, or interfere with systems, accounts, networks, models, safeguards, rate limits, authentication, or security controls without express written authorization;
- create, distribute, install, or operate malware, ransomware, credential theft, phishing, botnets, denial-of-service activity, destructive code, or unauthorized surveillance;
- obtain, use, disclose, sell, publish, or distribute personal data, credentials, communications, private files, or confidential information without lawful authority;
- impersonate another person, misrepresent affiliation, falsify identity, manipulate metrics, create fake engagement, evade sanctions, or deceive users or institutions;
- harass, threaten, exploit, stalk, bully, defame, discriminate against, or facilitate violence or abuse against any person or protected group;
- sexually exploit or endanger a minor, create or distribute child sexual abuse material, groom a minor, or expose a minor to inappropriate or unlawful content;
- infringe copyright, trademark, patent, privacy, publicity, database, trade-secret, contractual, or other rights;
- upload content that is illegal, malicious, fraudulent, unlawfully obscene, or subject to a court or regulatory prohibition;
- use automated scraping, bots, unauthorized APIs, bulk extraction, model extraction, data harvesting, or account automation except through a feature Whisser expressly authorizes;
- resell, sublicense, mirror, frame, clone, or commercially exploit the Services without written permission;
- use the Services to evade sanctions, export controls, court orders, law-enforcement restrictions, or regulatory requirements; or
- help another person do anything prohibited by these Terms.
10. Illegal use, wrongdoing, and user liability
You are solely responsible for your conduct, instructions, User Content, connected services, transactions, communications, and use of outputs. If you use Whisser to perform, attempt, facilitate, conceal, or benefit from illegal activity, you remain personally responsible and may be subject to civil, administrative, contractual, or criminal liability under the laws that apply to you, the affected person, the conduct, and the relevant jurisdiction.
Using Whisser does not authorize conduct that would otherwise be unlawful and does not transfer your legal responsibility to Whisser, its providers, or other users. You are responsible for losses, claims, penalties, costs, and consequences caused by your violation of law, infringement of rights, breach of these Terms, misuse of third-party services, or unauthorized activity conducted through your account, subject to applicable law.
Whisser may preserve records, restrict access, remove content, suspend accounts, notify affected parties, report suspected unlawful activity, and provide information to competent authorities when required or permitted by law and consistent with valid legal process. Whisser does not make a final determination of criminal guilt; that authority belongs to courts and lawful government bodies.
11. Security research and vulnerabilities
Do not test or probe Whisser systems without prior written authorization. If you discover a vulnerability, stop testing, do not access or retain other users' data, do not disrupt the Services, and report the issue privately to [email protected]. Public disclosure, extortion, sale, exploitation, or continued testing without authorization is prohibited.
12. Whisser intellectual property
The Services, including software, interfaces, designs, trademarks, logos, documentation, models, databases, text, graphics, and other materials provided by Whisser, are owned by Whisser or its licensors and protected by intellectual-property and other laws. Except for the limited right to use the Services under these Terms, no right or license is granted by implication, estoppel, or otherwise.
You may not remove proprietary notices, use Whisser branding in a misleading manner, register confusingly similar names, or claim sponsorship or endorsement without written permission. Feedback you voluntarily provide may be used by Whisser without restriction or payment, but Whisser is not required to use it.
13. Rights complaints
If you believe content on Whisser infringes your copyright, trademark, privacy, or another legal right, send a detailed notice to [email protected] identifying the protected work or right, the challenged material and its location, your contact information, the basis of the claim, and a statement that the information is accurate and submitted in good faith. Whisser may request verification, forward the notice to the affected user, remove or restrict content, or restore content when appropriate.
Knowingly false, misleading, or abusive notices may create liability. Repeat or serious infringement may result in account termination.
14. Paid Services, renewals, and taxes
If Whisser offers paid Services, prices, billing periods, limits, renewal terms, and cancellation options will be shown at purchase. Unless otherwise stated or required by law, fees are charged in advance, are non-refundable once the relevant period or digital service begins, and may change for future billing periods after reasonable notice.
You authorize Whisser and its payment provider to charge the selected method for applicable fees, taxes, and authorized renewals. You are responsible for accurate billing information and taxes that Whisser is not legally required to collect. Payment disputes, chargeback abuse, or unpaid balances may result in restriction or collection activity, subject to consumer law.
15. Privacy
The Privacy Policy explains how Whisser handles personal data. By using the Services, you acknowledge that processing. You must not use the Services to collect, disclose, or process another person's data without lawful authority, required notice, and appropriate safeguards.
16. Moderation, suspension, and termination
Whisser may investigate suspected violations and use automated or human review. To protect the Services and users, we may warn you, remove or limit content, disable sharing, reset sessions, revoke integrations or keys, impose rate limits, preserve evidence, restrict features, suspend accounts, or terminate access. We may act without prior notice when reasonably necessary to address security, illegality, fraud, abuse, imminent harm, repeated violations, non-payment, legal obligations, or risk to Whisser or third parties.
Enforcement may apply to related accounts, devices, payment methods, organizations, or networks where reasonably necessary to prevent evasion. You may not create or use another account to bypass a restriction. Where appropriate, you may appeal by contacting support with relevant facts. Whisser is not required to restore removed content or an account when retention would create legal, safety, security, or operational risk.
You may stop using the Services at any time. Provisions that by their nature should survive termination will survive, including ownership, licenses needed for retained copies, user responsibility, disclaimers, liability limits, indemnity, dispute terms, and enforcement rights.
17. Legal process and cooperation
Whisser may respond to valid subpoenas, warrants, court orders, preservation demands, regulatory requests, emergency disclosures, and other lawful process. We may preserve or disclose account information, content, logs, and transaction records when required or permitted by law, necessary to enforce these Terms, or reasonably believed necessary to protect rights, property, safety, or security.
You are responsible for responding to claims and authorities concerning your own conduct. Nothing in these Terms requires Whisser to obstruct, conceal, or assume responsibility for a user's wrongdoing.
18. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available." Whisser disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, uninterrupted operation, and results.
Whisser does not warrant that content will be preserved, that errors will be corrected, that outputs will be accurate or lawful, or that the Services will meet your requirements. You are responsible for maintaining independent backups and for evaluating whether the Services are appropriate for your use. Nothing in these Terms excludes warranties or remedies that cannot lawfully be excluded.
19. Limitation of liability
To the maximum extent permitted by law, Whisser and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages; loss of profits, revenue, goodwill, opportunity, data, or business; service interruption; substitute services; or claims arising from third-party conduct, even if advised that such loss was possible.
To the maximum extent permitted by law, Whisser's total aggregate liability arising from or relating to the Services or these Terms will not exceed the greater of: (a) the amount you paid directly to Whisser for the affected Service during the twelve months before the event giving rise to the claim; or (b) one thousand Philippine pesos (PHP 1,000). This cap does not apply where prohibited by law or to liability that cannot lawfully be limited.
The exclusions and limits apply regardless of legal theory and are an essential basis of the agreement. Some jurisdictions do not allow certain exclusions, so portions may not apply to you.
20. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Whisser and its owners, officers, employees, contractors, affiliates, licensors, and service providers from claims, proceedings, losses, liabilities, damages, judgments, penalties, costs, and reasonable legal fees arising from or relating to: your User Content; your conduct or use of the Services; your violation of these Terms, law, or third-party rules; your infringement or misuse of another person's rights; your unauthorized processing of personal data; or activity through your account that you authorized, directed, or failed to secure.
Whisser may control the defense of a covered matter, and you will reasonably cooperate. You may not settle a claim in a manner that admits fault by, imposes obligations on, or restricts Whisser without written consent. This section does not require indemnification for Whisser's own unlawful conduct where such indemnification is prohibited.
21. Changes to these Terms
We may update these Terms for legal, security, technical, operational, or service changes. We will post the revised Terms and update the effective date. If a change materially reduces your rights, we will provide additional notice where reasonably practicable or legally required. Continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.
22. Governing law and disputes
These Terms and disputes arising from them or the Services are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles, including where applicable the Electronic Commerce Act of 2000, the Data Privacy Act of 2012, the Cybercrime Prevention Act of 2012, and the Intellectual Property Code of the Philippines.
Before filing a claim, you and Whisser will make a good-faith effort for at least thirty days to resolve it informally after written notice describing the issue and requested relief. If unresolved, the dispute will be submitted to courts of competent jurisdiction in the Philippines, subject to mandatory consumer, privacy, small-claims, or other laws that give you a non-waivable right to use another forum or procedure.
Nothing prevents either party from seeking urgent injunctive or protective relief for security incidents, unauthorized access, misuse of confidential information, or infringement of intellectual-property rights.
23. General terms
- Entire agreement: These Terms and incorporated policies are the entire agreement regarding the general use of the Services, unless a signed agreement states otherwise.
- Severability: If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue.
- No waiver: Failure to enforce a provision is not a waiver.
- Assignment: You may not assign your rights or obligations without Whisser's written consent. Whisser may assign these Terms as part of a reorganization, financing, merger, acquisition, or transfer of the Services.
- No agency: These Terms do not create employment, partnership, joint venture, fiduciary, franchise, or agency relationships.
- Force majeure: Whisser is not liable for delay or failure caused by events beyond reasonable control, including disasters, conflict, government action, internet or utility failures, cyberattacks, labor disputes, or provider outages.
- Headings: Headings are for convenience and do not limit interpretation.
